Terms of Service

This is a draft. It takes effect on the date shown above once our attorney has finished reviewing it.

1. Who We Are

Eeda (“Eeda,” “we,” “us,” “our”) is operated by JAD Technologies LLC, a Michigan limited liability company. You can reach us at support@geteeda.com.

These Terms are a binding agreement between you and JAD Technologies LLC. By creating an account, browsing listings, or using the Eeda app or website (together, the “Service”), you agree to them. If you don’t agree, don’t use the Service.

2. What Eeda Is — and What It Is Not

Read this section carefully. It defines the limits of our role.

Eeda is a directory. We publish listings for local home-service professionals (“Pros”) so that consumers (“Customers”) can find and contact them directly.

We are not a party to any agreement between a Customer and a Pro. We do not:

Booking requests. Where a Pro has turned on online booking, the Service lets a Customer send that Pro a request for a time, which the Pro confirms or declines in the app. A request, and a confirmation, is a message between you and the Pro to help you schedule. It is not a contract with Eeda, and Eeda does not guarantee that the Pro will show up, perform the work, or honor the time.

Not an emergency service. A booking request is a message to a Pro, who has up to eight hours to answer it, and some requests are never answered. If you have an emergency — fire, a gas smell, flooding, an electrical hazard, or any risk to someone’s safety — call 911 or your utility company first. Do not wait on a request sent through Eeda.

Prices and details on a listing come from the Pro. Prices, service descriptions, service areas, and open times shown on a listing are entered by the Pro and may be out of date. They are estimates, not offers, and they may not include taxes, travel, materials, permits, or work that only becomes visible once a Pro is on site. Agree the actual price with the Pro before any work begins.

Cancelling and no-shows. If you cannot keep a time a Pro has confirmed, cancel it in the app as early as you can. Pros are independent businesses and may charge their own cancellation, travel, or trip fees under their own policies; those fees are between you and the Pro, and Eeda neither sets, collects, nor refunds them. Pros should likewise decline or cancel promptly rather than leave a Customer waiting.

When you hire a Pro through information found on Eeda, you are contracting directly with that Pro. Any dispute about the work, the price, the timing, damage to property, or injury is between you and the Pro. Eeda is not responsible for it.

Pros are independent businesses. Listing on Eeda is not our endorsement, recommendation, or certification of any Pro.

3. Credentials and Documents — What They Mean and Don’t

Read this section carefully.

Pros may choose to provide credential information and upload supporting documents to their profile. Everything shown in that area comes from the Pro. Eeda displays it as provided, with the date the Pro provided it. Eeda does not check, confirm, endorse, or guarantee any of it.

License information. A Pro may enter a license number, the body that issued it, and the state. We display it exactly as the Pro provided it, labeled as provided by the Pro, with the date. We do not confirm that the license exists, is currently active, is unrevoked or unsuspended, or is the right kind of license for your job. Most states publish a free public license lookup; we link to a page listing them so that you can check the license yourself, and you should do that before hiring.

Insurance. A Pro may upload a certificate of insurance. We display that a certificate is on file, the date it was uploaded, and the document itself. We do not confirm that the policy exists, is in force, is adequate, or covers your job. Certificates expire, and we do not promise to catch expirations.

Other statements — such as bonded, veteran-owned, family-owned, or years in business — are statements by the Pro. We do not check them.

Eeda does not perform, purchase, or display background checks. We do not screen Pros, their employees, their subcontractors, or anyone else a Pro may send to your home. Deciding who you let onto your property is your decision alone.

Eeda makes no representation that any Pro is licensed, insured, bonded, qualified, competent, or safe. Documents and details displayed on a profile are provided for your convenience so that you can evaluate a Pro yourself. The responsibility to check a Pro’s license, insurance, and suitability is yours.

Profile review. Before a new listing appears in search, a member of our team looks it over for completeness and for content that breaks these Terms (for example, spam or an obviously fake business). That review is about the listing’s content. It is not a check of any credential, document, or claim, and it does not change anything in this Section 3.

4. Eligibility and Accounts

You must be 18 or older to create an account. The Service is not directed to children.

You are responsible for keeping your login secure and for everything that happens under your account. Tell us at support@geteeda.com if you believe your account has been compromised.

Provide accurate information. If you register on behalf of a business, you represent that you have authority to bind that business.

You can sign in with an email address and password, with your Apple account, or with your Google account. Apple and Google handle that sign-in under their own terms.

Keep one account. Do not share your login, let anyone else use your account, or sell, rent, or transfer it. We may suspend an account we believe is shared, duplicated, or compromised, and we may reclaim an invite code or business name that is being misused.

You may delete your account at any time from the Account screen in the app. Deleting a Pro account removes its listing.

5. Pro Listings and Subscriptions

5.1 Listing Requirements

Pros are solely responsible for the accuracy of everything on their profile — business name, contact details, service categories, license information, insurance certificates, photos, and descriptions. Do not advertise services you are not licensed to perform where a license is required, and do not upload a document that is not current and genuine. Providing false credential information is grounds for immediate removal.

You grant Eeda a non-exclusive, royalty-free license to display, reproduce, and distribute the content you submit for the purpose of operating and promoting the Service.

5.2 Subscription Plans and Pricing

Prices are in U.S. dollars. The price shown in the app’s store screen at the time you subscribe is the price you pay; the store may show it including any applicable tax.

Founding Pro offer. Pros who join before [FOUNDING OFFER END DATE] receive their first three (3) months free, beginning on the day the subscription starts, and thereafter pay $50 per month for the Pro Listing plan for as long as the subscription remains continuously active, even if the price for new subscribers rises. If a Founding Pro cancels, the locked rate is forfeited and re-subscribing is at then-current pricing. Founding Pros also receive a “Founding pro” badge on their listing, which Eeda may award at its discretion.

5.3 Billing, Renewal, and Cancellation

Pro subscriptions are sold only through the app, as in-app purchases handled by Apple (App Store) on iPhone and iPad and by Google (Google Play) on Android. Eeda does not accept card payments itself and never sees your card details. Apple’s or Google’s terms and privacy policy apply to the payment.

Subscriptions are billed in advance, monthly or annually depending on the plan you choose, and renew automatically at the same price unless you cancel at least 24 hours before the end of the current period. Payment is charged to your Apple or Google account at confirmation of purchase and at each renewal.

You cancel by managing your subscriptions in your device’s settings (App Store: Settings → your name → Subscriptions; Google Play: Payments & subscriptions). Cancellation takes effect at the end of the current billing period, and your listing stays live until then. Deleting the app does not cancel a subscription.

Refunds for in-app purchases are handled by Apple or Google under their policies. We do not provide partial-period refunds except where required by law.

Price changes for existing subscribers are made through the store’s price-change process, which gives you notice and, where the store requires it, asks for your consent before the new price applies. Founding Pro rates locked under Section 5.2 are not raised.

5.4 Suspension and Removal

We may suspend or remove any listing, with or without notice, if we believe the Pro has violated these Terms, provided false credential information, or created risk for Customers. A listing is also paused automatically from search when several different Customers report it within a short period, until we have looked into it. We may also remove listings for non-payment. Eeda does not issue refunds itself. A Pro whose listing is removed for violating these Terms should cancel the subscription in their device’s settings to stop further renewals; any refund request for the current period goes to Apple or Google and is decided under the store’s own policy.

5.5 Featured Listings Are Paid Placement

Some listings are marked “Featured.” Featured means the Pro pays Eeda for a higher position in search and on the Explore screen, and the app says so next to the label. It is not a ranking of quality, and it says nothing about a Pro’s work, credentials, or reviews. Every other listing is ordered by distance, rating, and how well it matches what you searched for, with pros your friends have shared shown first.

6. Listings Are Created by Their Owners

Every public listing on Eeda is created and managed by the Pro who owns it. Eeda does not publish public listings for businesses that have not created an account. If we ever add such listings in the future, we will update these Terms first, and those listings will show no credential information, documents, reviews, or friends’ picks.

A Customer may save a contractor who is not on Eeda to their own “My pros” list and may share that entry with the friends they have added. Such an entry is private to that person and their friends and never appears in search.

If a listing or a shared entry uses your business name or details and you want it gone, email support@geteeda.com and we will remove it promptly.

7. Reviews, Friends’ Picks, and User Content

7.1 Reviews

A review can be posted only by a Customer whose booking request through Eeda for that Pro was confirmed and marked complete, from an account whose email address has been confirmed. Reviews cannot be edited or taken down by the reviewer once posted; you can ask us to remove one at support@geteeda.com, and we decide. A star rating and the number of reviews shown on a listing are calculated from those reviews.

We may decline to post a review, remove one, or put one back, at our discretion — for example when a review breaks the rules in Section 7.3 or does not come from a completed booking. We do not decide who is right when a Pro and a reviewer disagree about what happened, and we do not remove a review simply because it is negative or because a Pro asks us to. A Pro who believes a review breaks these Terms can email support@geteeda.com.

A “Top rated” label is added automatically to a listing rated 4.8 or higher by at least 10 customers. It is arithmetic on the reviews, not an assessment by us.

7.2 Friends’ Picks

The People feature lets you add friends who also use Eeda (by invite code, by searching for someone you already know, or by privately matching your phone’s contacts — see our Privacy Policy) and keep a list of pros you have used or would recommend (“My pros”). Each saved pro can be shared with your friends or kept private. Pros your friends have chosen to share appear to you as “Friends’ picks.”

A pick is not a review and not a rating. It means only that a person you added chose to share that pro with their friends. It is not a statement about quality and it is not checked by us.

7.3 Content Standards and Your License to Us

You are solely responsible for content you post — reviews, notes, tags, photos, documents, and anything else. You represent that you own it or have the right to post it, and that it is accurate. Do not post anything that is false, defamatory, harassing, obscene, discriminatory, or that infringes someone else’s rights, and do not post personal information about another person that they have not made public.

Do not post reviews or picks for your own business, for a competitor, or in exchange for payment or a discount. Do not solicit or incentivize reviews.

By posting content, you grant JAD Technologies LLC a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and adapt it for the purpose of operating, promoting, and improving the Service, for as long as it remains on the Service and for a reasonable time after. You keep ownership of your content.

Feedback. If you send us suggestions or ideas about the Service, we may use them without any obligation or payment to you.

7.4 Reports and Our Role

Anyone can report a listing from the app. We do not pre-screen user content and we are not obligated to monitor it. We may remove content at our discretion, but we do not promise to. Opinions expressed by users are theirs, not ours.

9. Intellectual Property and Copyright Complaints

Your license. We grant you a personal, revocable, non-exclusive, non-transferable license to install and use the Eeda app on a device you own or control, and to use the website, for your own use under these Terms. You are responsible for your device and for any mobile-data charges your carrier applies, and we may require you to install an update to keep using the Service.

Ours. The Service, including the Eeda name and logo, the software, design, and all content we create, is owned by JAD Technologies LLC and protected by U.S. intellectual property law. [“EEDA” is the subject of a federal trademark application.]

You may not use our marks without written permission.

Copyright complaints. If you believe content on the Service infringes your copyright, send a notice under the Digital Millennium Copyright Act to support@geteeda.com or to our mailing address below with: a description of the copyrighted work; where the material appears on the Service; your contact details; a statement that you believe in good faith the use is not authorized; a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may remove the material and may suspend or terminate repeat infringers.

10. Assumption of Risk and Release

Read this section carefully. It limits what you can claim against us.

Assumption of risk. Hiring someone to work in or around your home carries risk. You decide whether to contact, hire, admit to your property, or pay any Pro, and whether to accept any Customer’s job, and you do so at your own risk. You are responsible for checking a Pro’s license, insurance, and suitability yourself (Section 3), and for your own safety and property.

Release. Eeda is not a party to any dealings between Customers and Pros. To the fullest extent permitted by law, you release JAD Technologies LLC and its Members, officers, employees, and agents from any and all claims, demands, losses, liabilities, and damages of every kind, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with any dispute you have with a Pro or a Customer, any work performed or not performed, any injury, property damage, or loss connected with that work, or any credential, document, review, or pick displayed on the Service.

If you are a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” If you live in another state with a similar law, you waive it to the extent permitted.

Nothing in these Terms takes away rights that the law does not allow you to give up.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

No guarantee, no reimbursement, no dispute service. Eeda does not offer a guarantee, a warranty, a money-back program, or any fund that reimburses you for work done badly, work not done, or damage to your property. We do not carry insurance for your job, and we do not mediate, arbitrate, or decide disputes between a Customer and a Pro. If a job goes wrong, your remedy is with the Pro and, where the Pro has one, with the Pro’s insurer.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any listing information, credential detail, or uploaded document is accurate, current, genuine, or complete.

WE MAKE NO WARRANTY REGARDING THE QUALITY, SAFETY, LEGALITY, TIMELINESS, OR SUITABILITY OF ANY PRO, ANY CUSTOMER, OR ANY WORK PERFORMED BY A PRO.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JAD TECHNOLOGIES LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PROPERTY, OR FOR ANY PERSONAL INJURY OR PROPERTY DAMAGE CAUSED BY A PRO OR A CUSTOMER, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE OR ANY INTERACTION WITH A PRO OR CUSTOMER.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) [$100].

This applies regardless of the theory of liability and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow these limitations, so parts of this section may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless JAD Technologies LLC and its Members, officers, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys’ fees) arising from your use of the Service, your content, your violation of these Terms or of any law, your dealings with any Pro or Customer, or — if you are a Pro — any work you perform or fail to perform for a Customer and any credential information you provide.

14. Governing Law, Where Disputes Are Decided, and Waivers

Read this section carefully. It decides where and how any dispute with us is handled.

Governing law. These Terms and any dispute between you and us are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act to the extent Section 14.4 applies.

14.1 Talk to Us First

Before filing anything, contact us at support@geteeda.com and give us [30] days to resolve it. Most problems are settled this way.

14.2 Michigan Only

Any lawsuit or proceeding between you and JAD Technologies LLC that is not sent to arbitration under Section 14.4 must be brought exclusively in the state courts located in Wayne County, Oakland County, or Macomb County, Michigan, or the United States District Court for the Eastern District of Michigan. You consent to the personal jurisdiction of those courts and waive any objection that they are an inconvenient forum. You may not bring a claim against us anywhere else, and you agree that any judgment of those courts may be enforced wherever you are.

14.3 No Jury, No Class Actions

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL IN ANY DISPUTE. YOU AND WE EACH AGREE TO BRING CLAIMS ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. If this class-action waiver is found unenforceable for a particular claim, that claim must be decided by a court under Section 14.2, not by arbitration.

14.4 Arbitration

[Any dispute not resolved under Section 14.1 shall be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in Oakland County, Michigan or by video, before one arbitrator. Either party may instead bring an individual claim in small claims court. You may opt out of this arbitration clause by emailing support@geteeda.com within 30 days after you first accept these Terms, stating that you opt out; opting out does not affect the rest of Section 14.]

14.5 Time Limit on Claims

[Any claim against us must be filed within one (1) year after it arises, or it is permanently barred, to the extent the law allows such a limit.]

15. Communications and Notices

By creating an account, you agree that we may send you notices, disclosures, receipts, and other communications electronically — by email to the address on your account, by push notification, and by messages inside the app — and that electronic delivery satisfies any legal requirement that a communication be in writing. Service messages about your account, bookings, and listing are part of the Service; you can turn off push notifications in your device settings, and you can unsubscribe from marketing email at any time.

Contact between you and a Pro. When you send a booking request, the Pro sees your name, the service, the date and time, the city of the job, and any note you attach. When the Pro confirms, they also receive the job address you entered and your phone number, so they can reach you and get there. Your email address is never shared with a Pro. You reach the Pro with the Call and Text buttons on their listing, which use your own phone. Pros are responsible for following the laws that govern calls and text messages when they contact a Customer.

We do not send text messages. If you invite a friend, the text is sent by you from your own phone.

Legal notices to us go to JAD Technologies LLC at the mailing address at the end of these Terms, with a copy to support@geteeda.com.

16. Changes to These Terms and to the Service

We may update these Terms. If we make material changes, we will post the updated Terms with a new “Last Updated” date and, where required, notify you in the app or by email. Continuing to use the Service after changes take effect means you accept them.

We may add, change, suspend, or discontinue any feature of the Service at any time, and we may impose limits on features or restrict access to parts of the Service. We are not liable to you for doing so. If a paid feature is discontinued, the store’s refund rules apply to any unused portion of a subscription.

17. App Store Terms

If you downloaded the app from Apple’s App Store or Google Play, the following also applies. These Terms are between you and JAD Technologies LLC only, not with Apple or Google. Apple and Google have no obligation to provide maintenance or support for the app, are not responsible for any product warranty, product-liability, or intellectual-property claim relating to the app, and are not responsible for addressing any claim by you or a third party about the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties. Your use of the app must also comply with the store’s own terms of service.

18. Accessibility

We want Eeda to work for everyone. We build the app and the website toward the Web Content Accessibility Guidelines (WCAG) 2.2, level AA, and we are still improving. If any part of Eeda is hard for you to use, email support@geteeda.com and tell us what happened; we will work with you to get you what you need.

19. Miscellaneous

Termination. We may suspend or terminate your access at any time for any reason, including for violating these Terms, and we may remove content or cancel booking requests. You may stop using the Service at any time and delete your account from the app. Sections 2, 3, 7.3, 9, 10, 11, 12, 13, 14, 17, and 19 survive termination.

United States only. Eeda is offered in the United States. We make no representation that the Service is appropriate or available anywhere else, and if you use it from outside the United States you do so on your own initiative and are responsible for local law.

No agency or partnership. Nothing in these Terms creates an employment, agency, partnership, joint-venture, or franchise relationship between you and JAD Technologies LLC, or between JAD Technologies LLC and any Pro.

Promotions. We may run promotions, referral rewards, or free periods under separately published terms, which apply alongside these Terms.

Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages of Apple, Google, or our hosting providers, natural disasters, or government action.

Severability. If a provision is unenforceable, the rest remains in effect.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

No third-party beneficiaries. Except for Apple as described in Section 17, these Terms create no rights for anyone other than you and us.

Headings and language. Headings are for convenience only. These Terms are written in English; a translation is for convenience and the English version controls.

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
